In no event shall CompassPoint Consulting’s total aggregate liability to you for all claims arising out of or relating to your use of the Site exceed: (a) for claims governed by the laws of England and Wales, one hundred British pounds (GBP £100); or (b) for claims governed by the laws of the UAE, five hundred UAE dirhams (AED 500); in each case regardless of the form of the claim. This limitation does not apply to liability which cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
8.5 Statutory Rights Preserved
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under the Consumer Rights Act 2015 (for UK users) or the UAE Consumer Protection Law (Federal Law No. 15 of 2020, for UAE users); or (d) any other liability that cannot be excluded or limited by applicable law. If you are a consumer in the United Kingdom, you have statutory rights under the Consumer Rights Act 2015, and nothing in these Terms is intended to affect those rights. If you are a consumer in the UAE, your rights under UAE Federal Consumer Protection Law are preserved.
9. Indemnification
You agree to defend, indemnify, and hold harmless CompassPoint Consulting and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Site
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any rights of a third party, including intellectual property or privacy rights
- Any content you submit, post, or transmit through the Site
CompassPoint Consulting reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, and in such event you agree to cooperate with our defense of such claim.
10. Account Registration and Security
10.1 Account Creation

10.2 Account Credentials
You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. We are not liable for any loss or damage resulting from your failure to safeguard your login credentials.
10.3 Account Termination
CompassPoint Consulting reserves the right to suspend or permanently terminate your account and access to the Site at any time and for any reason, including but not limited to breach of these Terms, fraudulent behavior, or inactivity. Upon termination, your right to access and use the Site will immediately cease.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed as follows: (a) for users located in or accessing the Site from the United Kingdom, these Terms shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have non-exclusive jurisdiction; (b) for users located in or accessing the Site from the United Arab Emirates, these Terms shall be governed by and construed in accordance with the federal laws of the UAE and the applicable laws of the Emirate in which CompassPoint Consulting maintains its registered office, and the competent courts of that Emirate shall have non-exclusive jurisdiction; (c) for users located outside both jurisdictions, section (a) shall apply by default. Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.
11.2 Informal Resolution
Before initiating any formal legal proceedings, both parties agree to make a good-faith effort to resolve any dispute informally by contacting CompassPoint Consulting directly and providing a written description of the dispute and the desired resolution. The parties shall have thirty (30) days to attempt informal resolution before pursuing formal proceedings.
11.3 Arbitration / Court Proceedings
If a dispute cannot be resolved informally: (a) for disputes governed by the laws of England and Wales, either party may bring proceedings before the courts of England and Wales; mandatory arbitration shall not apply to consumers, in accordance with Part 2 of the Consumer Rights Act 2015; (b) for disputes governed by the laws of the UAE, either party may refer the dispute to the competent courts of the relevant Emirate, or, by mutual written agreement, to arbitration administered by the Dubai International Arbitration Centre (DIAC) under its then-current rules, with the seat of arbitration in the Emirate where CompassPoint Consulting maintains its registered office, conducted in the English language. Nothing in this clause limits your right to bring proceedings before any court of competent jurisdiction where permitted by applicable law.
11.4 Class Action Waiver
To the maximum extent permitted by applicable law in the relevant jurisdiction, claims must be brought in your individual capacity. Nothing in this clause restricts any rights you may have under mandatory consumer protection legislation in your jurisdiction, including the right to participate in group litigation orders under the laws of England and Wales or equivalent collective proceedings under UAE law.
12. Modifications to the Site and Terms
12.1 Changes to the Site
CompassPoint Consulting reserves the right to modify, suspend, or discontinue any aspect of the Site, temporarily or permanently, at any time and without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Site or any part thereof.
12.2 Changes to These Terms
We may revise and update these Terms from time to time. We will indicate the date of the most recent revision and the version number at the top of this document. Where changes are material, we will notify you by email or by displaying a prominent notice on the Site at least thirty (30) days before the changes take effect. Non-material changes (such as typographical corrections) may take effect immediately upon posting. Your continued use of the Site following the effective date of any revised Terms means you accept and agree to the changes. If you do not agree with any material change, you may discontinue your use of the Site before the change takes effect.
13. Force Majeure
CompassPoint Consulting shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, civil unrest, labor disputes, power outages, internet or telecommunications failures, or other force majeure events.
14. Severability
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect, and the invalidity or unenforceability of any one provision shall not affect the validity or enforceability of any other provision.
15. Entire Agreement and Waiver
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and CompassPoint Consulting with respect to your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and communications, whether written or oral.
15.2 No Waiver
The failure of CompassPoint Consulting to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if it is explicitly stated in writing and signed by an authorized representative of CompassPoint Consulting.
